Business Leaders Increase Risk by Not Placing More Focus on Governance and ESG Reporting

While four in five (81%) business leaders in the UK and the US feel they are performing better than their industry’s average on ESG issues over the past two years, there is much less confidence around their organisations’ corporate governance. In contrast, less than 30% of executives feel confident they are outperforming their industry peers on governance issues, such as internal controls, lobbying and board composition.

Financial Data Transparency Act Will Transform Financial Reporting

Senators Mark Warner (D-VA) and Mike Crapo (R-ID), both senior members of the Senate Banking Committee, today introduced the Financial Data Transparency Act in the United States Senate, bringing this much-needed regulatory reform initiative one step closer to becoming law.

It’s been a long road. The legislation has been under consideration for a dozen years in one form or another; but last year, in a major step forward, the U.S. House of Representatives approved a version of the measure by an overwhelming bipartisan vote of 400-19.

Software Solutions Make Gains in DFIN’s First Quarter

DFIN’s first quarter financial results, announced yesterday, indicate that our transformation into a software-centric company is shifting into high gear. Software sales represented 33% of total net sales in the quarter, the highest level in DFIN’s history. In addition, year-over-year sales growth for our software offerings was 15.8%, the fifth consecutive quarter of double-digit software sales growth.

SEC Pay Versus Performance Ruling

Earlier this year, the U.S. Securities and Exchange Commission (SEC) reopened the comment period on proposed pay-versus-performance rules under the Dodd-Frank Act that would require disclosure of information about the relationship between executive compensation paid by a company and the company's financial performance. The SEC also considered adding new disclosure requirements in the final pay-versus-performance rules.

SEC Proposed Rule: Modernization of Beneficial Ownership Reporting

Earlier this year, the U.S. Securities and Exchange Commission (SEC) proposed amendments to certain rules governing beneficial ownership reporting. The proposed amendments would modernize the filing deadlines for initial and amended beneficial ownership reports filed on Schedules 13D and 13G. This would be the first major update to this reporting since November 2021.

DFIN Helps Navigate New Mandatory Cybersecurity Disclosures Proposed by the SEC

The U.S. Securities and Exchange Commission has proposed new amendments to its rules on cybersecurity disclosures by public companies. Expanding on the SEC's previously issued interpretive guidance from 2018, the proposed rules would "strengthen investors' ability to evaluate public companies' cybersecurity practices and incident reporting.”
